FinCEN Permanently Ends Beneficial Ownership Reporting Requirements

As of August 11, 2026 the U.S. Department of the Treasury’s Financial Crimes Enforcement Network (FinCEN) issued a final rule that permanently removes the requirement for U.S. companies and U.S. persons to report beneficial ownership information to FinCEN under the Corporate Transparency Act. 


The final rule makes permanent the exemptions established through FinCEN’s March 2025 interim final rule, which significantly narrowed the CTA’s reporting requirements. FinCEN also announced that it will delete previously submitted information from its BOI database for individuals it reasonably believes are U.S. persons. 


Under the final rule, U.S. individuals with FinCEN identifiers will no longer have to update or correct their information. Foreign companies also will not have to report certain U.S. individuals connected to the company, including company applicants and some individuals who control foreign pooled investment vehicles. Certain foreign companies registered to do business in the U.S. will still have reporting requirements. They must continue to report BOI for foreign individuals who are beneficial owners.
